ARTICLE I.

Name

The name of the organization whall be Charlotte Woodcarvers Club

 

ARTICLE II.

Our Purpose

The purpose of the Charlotte Woodcarvers Club shall be:

  • To promote the art of woodcarving
  • To encourage workshops, seminars, classes and other activities that provide training in woodcarving
  • To promote and to provide activities that allow display and exhibit woodcarvings and their creation to the general public for enjoyment and entertainment
  • To share and exchange ideas about woodcarving
  • To provide fellowship with woodcarvers and those interested in woodcarving

 

ARTICLE III.

Membership

  • All persons who believe in or are interested in the club purposes shall be eligible for membership in the Charlotte Woodcarvers Club. Paryment of annual dues shall provide a newsletter, a monthly meeting, a name tag, membership card, voting privileges and the opportunity to serve as club committee person, volunteers, offivers and active members.

 

ARTICLE IV.

Officers

The officers of the Charlotte Woodcarvers Club are as follows:

  • President - Karl Munn
  • Vice President - Bill Robinson
  • Secretary - Dana Mims
  • Treasurer -
  • Directors -
    • 3 year - Kim RoSser
    • 2 year - Rod Gatlin
    • 1 year - Judy Leftwich

    These officers shall constitute the Board of Directors and shall be the elected managers of the Charlotte Woodcarvers Club. The officers shall serve for one year terms with the exception of the three Directors which shall serve staggered three (3) year terms.

    All officers may be elected to server additional terms.

     

ARTICLE V.

Calendar

  • The Charlotte Woodcarving Club year is to begin on March First.
  • The election of officers shall be done at the January meeting.
  • The Board of Directors shall hold a minimum of two meetings each year. Others may be called if needed or desired.
  • Regular club meetings shall be 2:30 - 5:00 on the third Sunday of each month with the following exceptions:
    • June - The second Sunday
    • December - No meeting
ARTICLE VI.

Finances

  • The Charlotte Woodcarvers Club shall be a non-profit organization.
  • Funding for club activities shall be assessment of dues from club members.
  • Funding for activities such as workshops, seminars, etc., shall be assessment of costs from participating members.
  • All request for expenditures must be accompanied by a statement of how the expenditure is to be funded (gifts, fees, collections, etc.).
  • An annual statement of finances at the end of the year, that has been audited, must be filed with the President.
  • No monies, time property shall be committed without the approval of the membership and board members. Items other than those in the annual budget shall be requested and presented at least one month prior to request for approval.

 

ARTICLE VII.

Amendments

The consitution may be amended by a majority vote of membership present at a regular meeting following the regular meeting in which a motion for an amendment is made and seconded. In addition, all club members must be duly notified of the proposed amendment via the club monthly newsletter.

 

ARTICLE VIII.

Dissolution

Upon the dissolution of the organization, the Board of Trustees shall, after paying or making provision for the payment of all of the liabilities of the organization, dispose of all of the assets of the organization exclusively for the purposes of the organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501 (c) (3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Trustees shall determine. Any such assets not so disposed of shall be disposed of by the Superior Court of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organiztion or onganizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
